Moving a digital business to Cyprus involves more than incorporating a company and changing the address on your invoices. Your customer contracts, payment accounts, staff arrangements, VAT treatment and accounting records need to support the business you will actually operate after the move.
For a SaaS founder, online consultancy or digital agency, the difficult part is often the handover between the existing business and the proposed Cyprus operation. This checklist explains what to resolve before choosing a date for the switch, and what to bring to a Cyprus business relocation consultation.
1. Define exactly what is moving
Start with a one-page map of the business as it operates today. Identify the entity that signs contracts, owns software or other intellectual property, employs staff, receives customer payments and pays suppliers. Then prepare the same map for the proposed arrangement.
Moving the founder personally, setting up a Cyprus subsidiary and transferring an existing business are different projects. Do not assume that one automatically achieves the others. Agree which functions will move, which will remain abroad and who will be responsible for each after the change.
- List the current entities, owners and countries involved.
- Separate recurring subscriptions from project work and one-off sales.
- Identify assets, liabilities, customer deposits and unfinished work.
- Record who controls pricing, hiring, expenditure and major contracts.
- Choose a provisional transition date, subject to the dependencies below.
2. Review the departure country before restructuring
A Cyprus incorporation does not establish the tax outcome in the country you are leaving. Ask your existing adviser to assess the planned transfer of assets, business functions and management, together with any remaining activities there. The European Commission identifies exit taxation and controlled foreign company rules among the measures in the EU Anti-Tax Avoidance Directive. Whether a particular rule applies depends on the relevant national law and your facts.
For example, German corporate tax legislation addresses companies with their seat or management in Germany, while the German Fiscal Code defines management by reference to the centre of business leadership. A founder who continues to run the business from Germany therefore needs a German assessment alongside the Cyprus work. See section 1 KStG and section 10 AO; a treaty analysis may also be required.
Prepare a separate timeline for your personal move. Our Cyprus tax residency service covers that workstream. A personal residence assessment should not be used as a substitute for analysing the company.
3. Decide how contracts and payment accounts will change
Review the transfer and consent clauses in customer, supplier and platform agreements before changing the invoicing entity. Obtain legal input where contracts, licences or intellectual property are to be assigned or replaced.
Payment processors should be part of the plan from the beginning. Ask each provider whether the proposed entity and activity can be supported, what onboarding evidence it needs and whether recurring mandates or subscriptions can continue. Allow for unsettled balances, reserves, refunds and chargebacks belonging to the existing operation.
A subscription business example
Suppose customers have already paid annually to the existing company. Switching the payment destination does not explain which company now owes the remaining service, handles a refund or reports the associated revenue. Prepare a customer-by-customer handover schedule, agree the contractual treatment and reconcile the amounts at the transition date.
Keep a written record of the final invoice issued by the old entity, the first invoice issued by the new one and the treatment of credit notes. Test the customer journey before announcing the switch.
4. Classify your sales correctly for VAT
An online business is not automatically an electronically supplied service for VAT purposes. EU rules describe electronically supplied services by reference to automation, minimal human intervention and dependence on information technology. A software subscription and a consultant providing individual advice online may require different analysis. The definition appears in Article 7 of Implementing Regulation 282/2011.
The European Commission explains that the general B2B service rule looks to the customer’s establishment, while B2C electronic services generally follow the consumer’s location. Exceptions and conditions matter. Do not apply one VAT code to every international invoice simply because the seller is a Cyprus company. See the Commission’s place-of-taxation guidance.
Create a sales matrix showing product or service, customer country, business or consumer status, evidence of that status, and the proposed invoicing treatment. If you sell eligible services to consumers in other EU countries, review whether the One Stop Shop is available and appropriate. OSS is a reporting mechanism for covered supplies, not a conclusion that all other VAT obligations disappear.
For the wider registration questions, read our Cyprus VAT registration guide.
5. Map where your team actually works
Prepare a location schedule for employees and founders, including regular travel and remote work. A Cyprus employer can still have obligations in another country when staff work there. EU guidance states that employers generally register and pay social security where employees work, even if the business is based elsewhere; posting and work in multiple countries require separate consideration. See Your Europe employer guidance.
Before the move, confirm employment contracts, payroll responsibilities, social security coverage and any required immigration permissions. For contractors, assess the actual relationship and working arrangements rather than relying solely on the contract’s label.
If specialist recruitment from outside the EU is part of the project, check the applicable route. Cyprus’s Register of Foreign Interest Companies provides eligible entities with access to a facilitated process for recruiting skilled third-country staff. It is a separate process from ordinary company incorporation and should not be assumed available to every founder.
6. Put registrations and records in the right order
Build a registration calendar around the agreed structure. The Cyprus Tax Department states that a company must register in the Tax Registry within 60 days of the relevant triggering event, which includes incorporation. Its current procedure requires registered HE, AE and S entities to apply through Tax For All using CY Login from 1 July 2026. Consult the official business registration instructions for the relevant route and supporting documents.
Allocate responsibility for tax registration, VAT assessment, employer registration where needed, accounting access and ongoing filings. For a new entity, our Cyprus company formation service can be considered alongside the operational plan.
For internal control, retain a practical operating file: decision records, signed contracts, premises arrangements, staff responsibilities, invoices and reconciliations. The purpose is to document what actually happens. A folder of standard documents does not establish a particular tax treatment by itself.
7. Reconcile the first month after the move
Set opening balances and prepare a cutover reconciliation before processing the first month’s activity. Digital businesses should pay particular attention to deferred subscription income, customer credits, platform fees, foreign currencies and amounts moving between connected entities.
Reconcile gross sales to fees, refunds, withheld reserves and the net cash received. A bank deposit alone may not explain the underlying revenue. Keep platform exports and transaction-level reports accessible to the person maintaining the accounts.
Our Cyprus accounting services can support this reporting work. Agree the reporting frequency and the documents required before the first month closes.
What to prepare for your first consultation
A focused initial pack helps identify dependencies and scope the work:
- A short description of your products, revenue model and reason for moving.
- Your current entity and ownership structure, with the countries involved.
- A breakdown of sales by customer country and business or consumer status.
- A list of staff and contractors, their work locations and proposed changes.
- Key contracts, platform arrangements and intellectual property ownership details.
- Recent management accounts and your preferred transition date.
You can begin with a short business summary; detailed records can follow through an agreed document-sharing process.
